INTRODUCTION.

These Terms and Conditions of Use (the "Terms" and/or "Conditions", if applicable) govern the contractual relationship of a commercial nature with respect to your access to or use or contracting of the website www.conciergesports.mx (the "Platform"), which you as a user (hereinafter "You" or "User") agree with Concierge Travel & Life SA de CV (hereinafter "We" or "OPERADORA CONCIERGE TRAVEL & LIFE") via a mobile application and/or website and/or via telephone (hereinafter the "Service" or the "Services"). Each time a person accesses the Services as detailed below, he/she becomes a User. By accessing the Platform or using the Services, the User tacitly and unconditionally agrees to be bound by the terms and conditions contained in these Terms and Conditions, and therefore adheres to the content and scope of the same in the version published online by OPERADORA CONCIERGE TRAVEL & LIFE from time to time at the time the User accesses the Platform. Therefore, the User is advised to read these Terms and Conditions carefully each time he/she uses the Services, as they may be updated and/or modified by OPERADORA CONCIERGE TRAVEL & LIFE at any time without direct personal notification to the User.

In connection with the foregoing, the User may at any time review the updated version of these Terms and Conditions by clicking on the Terms and Conditions text located at www.conciergesports.mx.

OPERADORA CONCIERGE TRAVEL & LIFE's collection and use of personal information in connection with the Services is in accordance with OPERADORA CONCIERGE TRAVEL & LIFE's Privacy Policy available at www.conciergesports.mx. In addition, OPERADORA CONCIERGE TRAVEL & LIFE may provide a claims processor or insurer with any necessary information (including your contact information) if there are complaints, disputes or disputes, which may include a breach of contract, involving you and a third party and such information or data is necessary to resolve the complaint, dispute or dispute.

The present Terms and Conditions of Use regulate the contractual relationship of a commercial nature that binds the User who accesses and/or uses the virtual Platform and OPERADORA CONCIERGE TRAVEL & LIFE in its capacity as a commercial intermediary, especially in the authorisation of use that the latter grants in favour of the former as well as the use that the Users give to the Platform.

References to our "Affiliates" include our owners, subsidiaries, affiliated companies, officers, directors, suppliers, partners, sponsors and advertisers, and include (without limitation) all parties involved in the creation, and/or development of the Platform, as well as the Services offered and/or their content.

SECURITY AND PASSWORD.

You are solely responsible for maintaining the confidentiality of your account and password and for any and all statements made and acts or omissions arising through the use of your account and password, including any charges incurred. You should therefore take reasonable steps to ensure that others do not have access to your password. Our staff will never ask you for your password. You may not transfer or share your account with anyone, and we reserve the right to immediately terminate your account in the event of any unauthorised transfer or sharing.

INTERNATIONAL USE.

Although this Platform may be accessed from anywhere in the world, we make no representations or warranties as to whether the content of this Site is appropriate or available for use in locations outside the United States and/or Mexico, and access from territories where its content is illegal or prohibited. Those who choose to access this Site from other locations do so on their own initiative and are responsible for compliance with local laws. Any offer for any products, services and/or information made in connection with this Platform where prohibited shall be void.

TERMINATION OF USE.

You agree and acknowledge that subject to our sole discretion we may terminate or suspend your access to all or part of the Platform with or without notice and for any reason, including, without limitation, breach of these Terms and Conditions. Any suspicious, fraudulent, abusive or illegal activity may be grounds for termination of the business relationship with You and may be referred to the appropriate authorities.

In the event of termination or suspension, regardless of the reasons for such termination or suspension, your right to use the Services available on this Platform will cease immediately, and you acknowledge and agree that we may immediately deactivate or delete your account and all related information and files in your account, and prevent any further access to such files or this Site. We will not be liable to you or any third party for any claims or damages arising from the termination or suspension or any other action taken by us in connection with the termination or suspension.

DESCRIPTION OF SERVICES AND GENERAL INFORMATION.

OPERADORA CONCIERGE TRAVEL & LIFE is a commercial intermediary, whose technological platform allows a large number of tourism service providers (the "Provider(s)") to offer and market their services to Users (the "Services"), who in turn can procure reservations, purchases and/or enquiries about flights, accommodation, cars, cruises, sporting and/or cultural events and/or events of any kind, activities and other services and/or products (the "Tourist Service(s)"), as well as compare and book such services in real time, and purchase them separately or in combination, building and managing their own trip, according to their personal needs. The prices of the Services are set as packages or individual prices as described on the Platform.

OPERADORA CONCIERGE TRAVEL & LIFE is not the provider of the Tourist Services and acts in the name and on behalf of the Providers, so it is not obligated -directly or indirectly- to the execution of the Tourist Service. When you contract Tourist Services through OPERADORA CONCIERGE TRAVEL & LIFE, you are entering into a contract directly with the Supplier that offers its Tourist Services through our Platform. OPERADORA CONCIERGE TRAVEL & LIFE acts as an intermediary between you and the Tourism Service Providers.

By contracting Tourist Services through OPERADORA CONCIERGE TRAVEL & LIFE, you warrant and declare under formal oath that: (i) you are of legal age; (ii) you expressly accept these Terms and Conditions, which you have fully understood and expressly consent to use electronic means; (iii) you have full capacity to enter into contracts; (iv) you only use the OPERADORA CONCIERGE TRAVEL & LIFE Platform to book or contract Tourist Services for you and/or for another person for whom you have authorization to act; (v) in case of acquiring services to/from Cuba, you are not a U.S. citizen or resident, nor are you subject to the jurisdiction of the United States; and (vi) all the information you provide is true, accurate, current and complete.

These conditions are the general conditions that apply to the intermediation services provided by OPERADORA CONCIERGE TRAVEL & LIFE and under no aspect replace or modify the limitations of liability legally established according to your country of residence, nor the special conditions that each Tourist Supplier has defined for its Tourist Services. Before contracting, please review directly the particular conditions of each Tourist Service and each Tourist Supplier. OPERADORA CONCIERGE TRAVEL & LIFE is not responsible for and does not interfere in the particular conditions established by each Supplier for the provision of its Tourist Services, including but not limited to the registration, entry and/or stay processes.

You expressly understand and accept that the intermediation activity of OPERADORA CONCIERGE TRAVEL & LIFE in the commercialization of Tourist Services does not guarantee that the chosen destination does not present risks for the health and integrity of people. OPERADORA CONCIERGE TRAVEL & LIFE is not responsible either directly or indirectly for any damage or loss that you or those traveling with you may suffer in any way before, during or as a consequence of the chosen Tourist Service. OPERADORA CONCIERGE TRAVEL & LIFE is not responsible for events arising from acts of God or force majeure, including weather phenomena, health risks, pandemics, death, acts of nature, trade union conflicts, among others, that may occur before or during the provision of the Tourist Service, and that may eventually delay, interrupt or prevent the execution of this.

Before confirming your purchase request and prior express acceptance of these Terms and Conditions (the "Purchase Request"), we advise you to review directly the particular terms and conditions applicable to the Tourist Service you wish to hire. The terms and conditions of each Tourist Service are established by each Supplier without interference from OPERADORA CONCIERGE TRAVEL & LIFE. It is especially clarified that OPERADORA CONCIERGE TRAVEL & LIFE does not have any interference in the collection of penalties by the Suppliers or rate differences in the case of being applicable, which will depend on the terms and conditions of each Supplier.

The sole use of the Platform implies the acceptance of each and every one of the general and particular conditions included in these Terms and Conditions, which are considered a contract of adhesion. Reading and understanding them will allow you to better exercise your rights as a consumer. We suggest you print them and keep them together with the rest of the travel documentation. Remember to take note of the Purchase Request number that will appear on the screen when you confirm your request and/or in the purchase confirmation e-mail. This number identifies your transaction and will be essential for any clarification and/or management through OPERADORA CONCIERGE TRAVEL & LIFE.

PROCESS.

When you make a Purchase Request on the OPERADORA CONCIERGE TRAVEL & LIFE Platform and/or confirm the reservation request with our sales agent via telephone and/or any other means, you authorize us to manage your reservation and to charge your account or card. Please pay close attention to our subsequent telephone and electronic communications, where we will inform you about the progress and status of your Purchase Request. The successful completion of the reservation and/or confirmation of the purchase depends on the full and timely payment of the price and/or rate of all Tourist Services.

As long as the total payment of the reservation is not confirmed, the Purchase Request will remain in suspensive condition and could be cancelled unilaterally by the Supplier, without liability for the latter. The definitive confirmation of the Tourist Services and respective prices shall occur with the issuance of the electronic ticket(s) or the sending of the voucher(s) or itinerary(s) or the confirmed purchase order(s) -whichever applies- and their respective invoicing. In addition, for credit transactions, the requirements set by the issuing bank must be met. The issuance of the electronic ticket or voucher or purchase order or itinerary or -whichever applies- attests the acceptance of the terms and conditions of the Supplier and the conclusion of the contract entered into between the Supplier and the person/s whose name/s appear/s on such electronic ticket and/or voucher.

If the Purchase Request is subject to confirmation -which will be informed to you in the first email or itinerary or purchase order you receive- the amounts paid before confirmation will be received as a reservation. If your Purchase Request is finally rejected for any reason (for example, but not limited to, insufficient credit card balance, lack of availability, variation in the rate, etc.), OPERADORA CONCIERGE TRAVEL & LIFE will inform you of the available options in case you wish to insist on the purchase or reservation or, at your request, will refund the amounts paid.

If after entering your Purchase Request you do not receive an email with the purchase information, please check your Spam email inbox and/or log into My Account / My Booking on the Platform with the Purchase Request number. From there you will be able to make arrangements and, in case of additional questions, you can contact the phone numbers, emails or chat contact listed on the Platform.

The information published on the OPERADORA CONCIERGE TRAVEL & LIFE Platform regarding prices, qualities and characteristics of the Tourist Services, their availability, sales conditions, restrictions, cancellation or refund policies (among others) is established and provided by the Suppliers of the Tourist Services online and in real time. As an intermediary, OPERADORA CONCIERGE TRAVEL & LIFE informs you about the characteristics of the Tourist Services, manages your Purchase Requests with the Suppliers, collects, if applicable, the values corresponding to the rates. OPERADORA CONCIERGE TRAVEL & LIFE makes its best efforts to provide correct and accurate information, but is not responsible for errors (such as manifest and typographical errors), interruptions (due to temporary and/or partial server downtime or repairs), inaccuracies, misleading or false information emanating from the Suppliers of the Tourist Services. OPERADORA CONCIERGE TRAVEL & LIFE is not and should not be construed as a promoter of the quality, level of service and/or rating or classification of any Tourist Service available on the Platform. We advise you to read the terms and conditions of the Providers as well as the comments of other passengers listed on the Platform for advice on the chosen Tourist Service(s) and to assess whether it meets your needs and expectations. The Platform may contain links and pointers to other Internet sites, resources and sponsors of the Platform. Links from the Platform (in any direction) to other third party sites, maintained by third parties, do not constitute a recommendation by OPERADORA CONCIERGE TRAVEL & LIFE of any third party, their websites or their content. In addition, OPERADORA CONCIERGE TRAVEL & LIFE may provide tools to enable interaction between the Platform and a third party site, such as a Social Network (as defined below). OPERADORA CONCIERGE TRAVEL & LIFE is not responsible in any way for third party sites or resources, and your use of these sites and resources will not be governed by these terms and conditions. OPERADORA CONCIERGE TRAVEL & LIFE may, at any time and in its sole discretion, access or use any profile or other information about You that You have provided to Facebook and/or any other social network or third party website ("Social Network"). In such case, You expressly consent to OPERADORA CONCIERGE TRAVEL & LIFE so that: (i) OPERADORA CONCIERGE TRAVEL & LIFE may access and disseminate on the Platform the information or content that is part of Your public profile within the Social Network; (ii) The content of the public profile from the Social Network may be considered as generated by You on the Platform; and (iii) The public profile will continue to be governed by the terms and conditions and the Privacy Policy of the originating Social Network.

You have the duty to inform yourself responsibly about the legal and/or immigration documentation and/or health requirements that you or the persons traveling with you may need in order to be able to travel as planned (the "Travel Documentation"). Check in advance the conditions of entry to the country of destination and/or transit, special conditions for visas, permits and/or passports, driver's licenses, vaccinations, permission for minors to leave the country of residence or other document requirements, both for the countries of destination and transit countries, even if it is a stopover and it is not necessary to leave the airport. If you require it and do not have it, make the necessary arrangements to obtain it in advance. The requirements may vary depending on the country of destination and/or transit and depending on your country of nationality and/or residence and/or the documentation with which you are traveling. Remember that it is your responsibility to comply with all entry and/or transit requirements and/or documentation required by the immigration, customs and/or sanitary authorities of the country(ies) of destination and/or transit. We advise you to consult all the necessary requirements with the corresponding embassy or consulate before booking and departure.

REGISTRATION AND DATA PRIVACY.

In order to access some of our Services, the User must create an account and generate a password through the Platform, where you will be required certain information and personal data ("Registration Data"). Upon registration, you represent that all information provided in the Registration Data is true and correct, and that you are authorized to use such information for the purchase of the corresponding Tourism Services through the Platform.

You must enter all fields with accurate, complete, current and truthful data in order to make valid reservations of Tourist Services through OPERADORA CONCIERGE TRAVEL & LIFE. By entering your personal data in the Platform or declaring them via telephone, you declare that such data (the "Personal Data") are accurate, precise and true, and you assume the commitment to update such Personal Data as necessary. OPERADORA CONCIERGE TRAVEL & LIFE is not responsible for the accuracy of the Personal Data provided by You. You guarantee and are responsible for the truthfulness, accuracy, validity and authenticity of the Personal Data entered. Remember that all your data must match exactly with the Travel Documentation as defined below.

You must provide an email address in the "Contact Information" section or to the OPERADORA CONCIERGE TRAVEL & LIFE sales agent. This email is our way of contacting you. Check that the email address provided as a point of contact is correct and be attentive to the information that will be sent to that email. It will be considered that You took timely knowledge of the confirmation of your Purchase Request or any inconvenience or variation to it with the sending of such information to the email provided by You. Please note that if the e-mail address you have provided contains any error, you will not receive communications essential to the processing of your Purchase Request.

You must declare your exact fiscal data in the section "Invoicing Data" or to OPERADORA CONCIERGE TRAVEL & LIFE's sales agent in order to issue the corresponding fiscal voucher. You declare that such data is accurate, precise and true. OPERADORA CONCIERGE TRAVEL & LIFE shall not be liable for the issuance of documents with incorrect information provided by you. You guarantee and are responsible for the truthfulness, accuracy, validity and authenticity of the fiscal data entered. The update of the Personal Data will not affect the fiscal billing data provided by You. In the event of inconsistencies between the invoicing data provided by You and those reflected in the sales receipt.

For the cases in which the Supplier requires it, the Personal Data of the User and/or the persons designated by the latter for the use of the Tourist Services must match their travel documents and data provided in the Platform, therefore OPERADORA CONCIERGE TRAVEL & LIFE is not responsible for any inconsistency and damage caused by the above. In the case of tickets or access, OPERADORA CONCIERGE TRAVEL & LIFE reserves the right to deliver them with information different from that provided by the User.

PRICES AND DESCRIPTION.

We are not affiliated with any Association, Federation, Committee, Company, Network, Alliance, or travel or ticketing agency. The selling price of any Services reflects market demand, as well as the level of difficulty in obtaining or providing the Services.

The prices of the Services may fluctuate in the open market depending on the demand and/or time to time decision of the Suppliers, our retail prices are considered final once your order is confirmed. The price paid may vary at face and/or market value of the Tourist Services. No refunds or upgrades will be given.

Occasionally, prices for Services are listed incorrectly on our Site. In these circumstances, if your order has not been confirmed, we reserve the right to cancel your order and your card will not be charged. If your order has been confirmed and any charges have been incurred, every effort will be made to substitute similar Tourist Services. In both cases, you may receive an email or phone call to inform you of your options or that your order has been cancelled.

The Tourist Services may have descriptive notes, it is your responsibility to refer to these notes for any details associated with the Services, such as tickets, event location, additional services and/or products included in the event, etc. If you are unsure or do not understand a description of any of the Tourist Services, please contact us for more information. We are not responsible for and do not issue refunds, cancellations or exchanges for assumed services not detailed in the description notes.

PURCHASING PROCESS.

When You book one or more Tourist Services through OPERADORA CONCIERGE TRAVEL & LIFE, You must pay (i) the price or rate set by the Supplier, (ii) the taxes, fees and/or fiscal charges applicable to the Tourist Service and, if applicable, (iii) the management fee for OPERADORA CONCIERGE TRAVEL & LIFE's intermediation service (the "Management Fee"). Remember that OPERADORA CONCIERGE TRAVEL & LIFE acts in the name and on behalf of the Supplier of the Services and that the values corresponding to the price or tariff of the Tourist Services are transferred (endorsed) to the Supplier. OPERADORA CONCIERGE TRAVEL & LIFE offers you different ways to make and pay for your reservations of Tourist Services depending on the Service to be purchased, the Supplier that provides the Service(s) and the means used for the payment. The means and methods of payment available for each Tourist Service are those informed on the Platform or by the agents prior to entering your Purchase Request.

The purchase process of the Tourist Services is securely stored on our server, which will encrypt all data related to the purchase. Your payment information will be kept confidential and will not be shared with any third party.

If you purchase a Tourist Service, you agree to pay all fees and costs associated with such Tourist Services, Service, product or package. All charges incurred on our Platform will be charged to your credit card. You agree to provide us with all accurate and complete information necessary to make the charge, including valid and current credit card information, your name, card verification number (CVV), address, telephone number and any other information necessary to process your purchase. Credit card payments may be subject to a service charge, which will be added to each payment, if applicable.

If, for any reason, your credit card issuer refuses to pay the amount due, you agree that, at our discretion, we may suspend or terminate your Purchase Request, and require you to pay the amount due by other means of payment permitted by us, with the understanding that we may charge an additional fee for reinstatement of suspended or terminated Purchase Requests.

For your convenience, in case you do not have the possibility of having your credit card charged, sometimes by notice from OPERADORA CONCIERGE TRAVEL & LIFE, you will have the option to make the corresponding payment by transfer and/or cash deposit to the accounts and/or authorized establishments indicated in writing by OPERADORA CONCIERGE TRAVEL & LIFE, either by email or by any other means. Payments by these means may be subject to additional charges depending on the amount and the operation, which will be made known to you in the corresponding itinerary or purchase order prior to any payment.

It is the User's responsibility to verify and validate the accuracy of the Purchase Request. After placing your order, you will receive a series of emails related to your order, including confirmation of the Purchase Request.

The User assumes all responsibility for receiving and reading all correspondence we send via email, and complying with the specific instructions associated with the Purchase Request. We are not responsible for e-mails that are filtered into your spam or junk mail folders, or for e-mails blocked by any software or server.

In the event legal action is necessary to collect balances due and unpaid, You agree to reimburse all expenses incurred to recover amounts due, including attorney's fees and other legal expenses.

The sales of the Tourist Services are final and non-transferable to a person other than the one stated in the Travel Documentation according to the Personal Data provided by You.

In the case of shipment of documentation related to the Services, shipments shall be at the User's expense, unless otherwise agreed in writing.

The User acknowledges and accepts that at the moment of confirming a request for the Tourist Services, he/she will be responsible for those amounts in favor of OPERADORA CONCIERGE TRAVEL & LIFE and/or the corresponding Supplier, by virtue of the foregoing in case of default of payment in the terms and amounts established, either for lack of payment and/or for the lack of validation of his/her credit institution, he/she will be subject to a default interest of 5% (five percent) per month on the amounts owed and insults until the day of payment of the corresponding debt.

REFUNDS, CANCELLATIONS AND CONVENTIONAL PENALTIES OF THE PURCHASE REQUEST.

All Tourist Services are subject to availability and will not be confirmed until the corresponding price has been fully settled by the User and we have sent the confirmation order, once sent it will be considered as a final sale. We reserve the right to cancel a Purchase Request at any time in the event that the Service in question is no longer available at the advertised price.

In the event that the User fails to comply with any of the payments to which he/she is obliged within the terms established or if the User does not make the payment within the aforementioned term; the User acknowledges and accepts that irreparable damage would be caused to us, so we reserve the right to terminate the Purchase Request, in addition to applying as a penalty for non-compliance 100% (one hundred percent) on the total cost of the Tourist Services. Any amount paid will be withheld and/or offset until the amount due is paid. Notwithstanding the foregoing, We shall retain the right to claim payment of any applicable damages, including but not limited to applicable attorney's fees.

Notwithstanding any other provision set forth herein, the User agrees that the User may cancel the Purchase Request for the Services only in the event that the Tourist Services so permit and the User agrees and acknowledges that it is subject to the cancellation rates and times of each Provider.

Once We have confirmed any or part of the Services and/or Tourist Services, the User accepts and acknowledges that in the event that it is applicable to cancel the same this implies for Us irreparable damage, therefore We reserve the right to withhold and compensate the amounts that have been paid by the User previously as a cancellation penalty.

The Management Fee charged by OPERADORA CONCIERGE TRAVEL & LIFE is non-refundable even in case of cancellation and scheduling of the Tourist Services according to the following section. In case of cancellation of confirmed reservations for any reason, the Management Fee will not be refunded to You since it corresponds to a service actually provided by OPERADORA CONCIERGE TRAVEL & LIFE. Likewise, in the event that You request the change or cancellation of a Tourist Service, OPERADORA CONCIERGE TRAVEL & LIFE may charge a Management Fee in addition to the one already paid.

If You do not show up for use on the date and time indicated (or arrive late), what is known in the tourism market as a No Show is configured and You will not have the right to demand a total or partial refund and will be subject to the corresponding penalties, which may be paid to OPERADORA CONCIERGE TRAVEL & LIFE and/or the Supplier of the Tourist Services, as We may determine with the Supplier.

By engaging Us for any of our Services, You acknowledge and agree that nothing outside of what is set forth in this section shall entitle You to a cancellation or refund for any cause whatsoever.

CANCELLATION AND RESCHEDULING OF TOURIST SERVICES.

In the event that a Tourist Service is cancelled for any reason and is not rescheduled, the refund policy for the costs of the Tourist Services will be in accordance with OPERADORA CONCIERGE TRAVEL & LIFE's policies in effect at the time You request the refund. Expenses incurred for handling and/or processing of the Purchase Request, including but not limited to fees applicable to credit transactions, are not refundable. Please contact us for reimbursement instructions.

If a Tour Service is cancelled by the Supplier, we are not obligated to reimburse any incidental expenses incurred as a result of your plans, including, but not limited to, transportation expenses, lodging reservations or car rental expenses. We are not responsible for the actions of any Supplier when a Tourist Service is modified and/or cancelled.

In the event that any Tourist Service is rescheduled or postponed, please contact us to verify the next steps according to OPERADORA CONCIERGE TRAVEL & LIFE's policies, which will be adjusted to the conditions granted by the Supplier.

Please retain your corresponding receipts, in most cases, the original tickets, tickets and/or reservations will be used to access the new Tour Service. No refunds or exchanges will be made for rescheduled or postponed Tour Services. It is your responsibility to verify all information related to the rescheduled or postponed Tour Service prior to attending the new Tour Service. We are not responsible for any expenses or refunds related to a rescheduled or postponed Tour Service. Expenses incurred for handling and/or processing of the Purchase Request, including but not limited to fees applicable to credit transactions, are non-refundable.

Due to the uncertainty related to the COVID-19 pandemic, all Tour Services are subject to all applicable Tour Service Provider's health and safety policies, including without limitation last minute cancellations or rescheduling or restrictions, therefore You acknowledge and agree that the Provider may continue to develop and update its policies in the time between your purchase and the date of the Tour Service and You agree to be bound by the same at the time of any claim.

By using tickets, vouchers, tickets, tickets and/or any applicable documents in accordance with common practice for use of the Tourist Services, You acknowledge and agree that You will comply with the Supplier's policies and Your attendance or continued attendance at the Tourist Services is conditioned upon such compliance. If your admission to the Tourist Service is denied or revoked because You failed or refused to comply with such Provider's policies, You will not be eligible for a refund. Staying Home: You agree that neither You, nor anyone in your group, will attend any Touring Service if any of the following conditions are met on the day of such Touring Service; Within the previous 14 (fourteen) days, You (or anyone in your group or with whom You have close contact) have tested positive for or have been exposed to someone who has tested positive for COVID-19; Within the previous 48 (forty-eight) hours, You (or anyone in your group or with whom You have close contact) have experienced symptoms of COVID-19 (e.g., fever of 38° Celsius or higher, cough, shortness of breath or difficulty breathing , chills, repeated shivering, muscle pain/discomfort, headache, sore throat, loss of taste or smell, nasal congestion, runny nose, vomiting, diarrhea, fatigue, or any other symptoms associated with COVID-19 identified by WHO.

To help maintain social distancing guidelines, You agree that You will not sell, transfer, or provide any of Your tickets, vouchers, tickets, tickets, tickets and/or any applicable documents in accordance with common practice for use of the Tourist Services to any third party.

COVID-19 COVENANT.

Because there is an inherent risk of exposure to COVID-19 in any public place where people are present and because COVID-19 is an extremely contagious disease that can lead to serious illness and death according to the Centers for Disease Control and Prevention, the elderly and those with medical conditions are especially vulnerable, by engaging a Tourist Service, You voluntarily assume, on behalf of Yourself and all those accompanying You, all risks related to exposure to COVID-19. On behalf of Yourself and Your Related Persons (defined below), You release (and agree not to sue) each of the Released Parties (defined below) with respect to any and all claims that You or any of Your Related Persons may have (or hereafter accrue) against any of the Released Parties that relate in any way to: (i) exposure to COVID-19; (ii) entry or presence in or around any Tourist Service, including all risks related thereto; (ii) or compliance with protocols applicable to the Tourist Service; or (iii) any interaction between You and any personnel of any of the Released Parties present at the Tourist Service, in each case whether caused by any action, inaction or negligence of any Released Party or otherwise, as defined below:

• "Related Persons" means your heirs, assigns, executors, administrators, next of kin, any person attending the Tourist Service with you, persons whom you represent have authorized them to act on your behalf for the purposes of these Terms and Conditions and other persons acting or purporting to act for you or on their behalf.
• "Released Parties" means the Suppliers and OPERADORA CONCIERGE TRAVEL & LIFE and each of their respective Affiliates, administrators, designees, direct and indirect, licensees, agents, owners, officers, directors, employees, contractors (and all employees of such contractors) and any other personnel.

LIMIT OF LIABILITY.

The User understands and accepts that the quality of the Tourist Services is generated directly with the corresponding Tourist Service, therefore warranty claims must be made directly with the corresponding Tourist Service Provider, who have the obligation to comply with the claims under the terms of the applicable laws.

OPERADORA CONCIERGE TRAVEL & LIFE can in no way guarantee that the Services and the content of the Platform will: (a) meet the requirements appropriate, required or expected for or by each of the Users; (b) not be interrupted; (c) arrive on time; (d) arrive with a certain level of speed; (e) arrive without errors; (f) that the results obtained from the use thereof will be accurate and/or reliable.

OPERADORA CONCIERGE TRAVEL & LIFE does not guarantee that any error(s) in the Services will be or can be fully or partially corrected, so OPERADORA CONCIERGE TRAVEL & LIFE shall not be obliged to make any concession. OPERADORA CONCIERGE TRAVEL & LIFE shall not be liable for damages, direct or indirect, resulting from the use of the Service, the Platform or the impossibility to use them.

You acknowledge and agree that this Platform may include technical or other errors, inaccuracies or typographical errors, We may make changes to the materials and services on this Platform, including the prices and descriptions of any Tourist Services found here, at any time without notice. The Services on this Platform may be out of date, and We make no commitment to update such Services.

The User acknowledges and agrees that use of the Platform and the Services is at the User's sole risk and that the Platform is provided on an "as is" and "as available" basis, to the extent permitted by applicable law, and the User hereby disclaims all warranties, conditions and representations of any kind, whether express, implied, statutory or otherwise.

INDEMNIFICATION.

You, at Our request, agree to defend, indemnify without limitation and hold Us and Our Affiliates harmless from and against any and all liability, claims and expenses, including attorneys' fees, arising out of Your use or misuse of this Site and/or the Tourist Services when You cause damage to OPERADORA CONCIERGE TRAVEL & LIFE by Your misuse of the Tourist Services. We reserve the right, at Our expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by You, in which event You agree to cooperate with Us in asserting any available defenses.

CONTENTS.

In these cases, OPERADORA CONCIERGE TRAVEL & LIFE does not endorse, guarantee or commit its responsibility for the services and / or products that are marketed by these third parties, since the Platform serves as a channel of communication and advertising, therefore it is the full responsibility of users to access the sites that refers advertising, assuming the obligation to verify and know the terms of the services offered by third parties.

DIVISIBILITY.

NO RESIGNATION.

The failure of Us to take any action to enforce or exercise any provision of these Terms and Conditions or related rights shall not constitute a waiver of such right or provision.

FULL ACCEPTANCE OF THE TERMS:

The User expressly declares to have legal capacity to use the Platform and to enter into contracts that may be generated. They also declare that they have provided real, truthful and reliable information. Therefore, expressly and unequivocally declares that they have read, understand and accept all the assumptions provided and regulated in this letter of Terms and Conditions of use of the Platform, so they undertake to full compliance with the duties, obligations, actions and omissions expressed herein. These Terms and Conditions constitute the entire and complete agreement between the parties with respect to the Services, and supersede all prior agreements and understandings of the parties with respect thereto.

JURISDICTION AND APPLICABLE LAW.

For matters not covered by these Terms and Conditions, Users agree to submit to the laws of the State of Florida, United States.

For the interpretation and execution of these Terms and Conditions, regardless of the place where payment is made, the parties expressly agree to submit to the jurisdiction and competence of an arbitration panel, only for a conciliatory process. If not resolved at that stage, the parties agree to submit to the jurisdiction and competence of the competent courts of the State of Florida, United States, expressly waiving the jurisdiction that may correspond to them by reason of their present or future domicile, recognizing that their solution, if any, must be made through commercial channels.

ACCEPTANCE.

By using the Platform or by indicating your acceptance in any way (e.g. by accepting by creating or logging into your account, by clicking "I accept" in any item or section of the Platform, etc.), the User represents and warrants that he/she has read, understands and agrees to be bound by these Terms and Conditions and the terms and conditions of the Tourism Service Providers. If the User does not agree to be bound by the terms of these Terms and Conditions, the User may choose not to access or use the Platform and/or the Services.
